1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you ("you" or "Client") and Seal & Cool ("we", "us", or "our") concerning your access to and use of our website (sealandcool.in) and any services provided by us. By accessing the site or hiring our services, you agree that you have read, understood, and accepted to be bound by these Terms.

If you do not agree with all of these Terms, then you are expressly prohibited from using the site or our services and you must discontinue use immediately.

2. Definitions

• Services: Refers to waterproofing, cool roof coating, building protection, and related renovation services provided by us.
• Quotation/Estimate: A document provided by us outlining the proposed scope of work and estimated costs based on initial site inspection.
• Site: The physical location where the Services are to be performed as specified in the Quotation.
• Work Order: The formal acceptance of a Quotation by the Client, either via signature, email confirmation, or advance payment.

3. Scope of Work and Site Inspection

Our Services are provided based on a site inspection. While we strive for accuracy, initial estimates are subject to change if unforeseen structural issues are discovered during the work process (e.g., hidden cracks, severe substrate degradation, or plumbing leaks not visible during initial inspection).

The Client is responsible for providing accurate information regarding the building's history, previous waterproofing attempts, and known leakage points. Failure to disclose such information may void warranties or result in additional charges.

4. Client Responsibilities and Site Access

To ensure the successful completion of our Services, the Client agrees to:

• Access: Provide full and uninterrupted access to the Site during agreed working hours (typically 9:00 AM to 6:00 PM).
• Utilities: Provide access to electricity and water required for the execution of the Services at no cost to us.
• Site Readiness: Ensure the Site is cleared of movable items, debris, or obstacles that may hinder work. Any delays caused by Site unreadiness may result in rescheduling fees.
• Safety: Ensure a safe working environment for our technicians. Pets and children should be kept away from the work area during operations.
• Permissions: Obtain necessary permissions from building associations, neighbors (if common areas are involved), or local authorities.

5. Payment Terms and Cancellation

Unless otherwise agreed in writing, the following payment schedule applies:

• Advance: 50% of the total project value is payable upon acceptance of the Quotation to mobilize materials and labor.
• Interim: Milestone payments (e.g., after surface preparation) as specified in the specific Quotation.
• Final: The remaining balance is due immediately upon completion of work and before the issuance of any warranty certificates.

Late Payments: We reserve the right to suspend work if payments are delayed beyond 48 hours of the due date. A late payment interest of 2% per month may be charged on overdue amounts.

Cancellation: If the Client cancels the Work Order after material procurement or mobilization, the advance payment will be forfeited to cover costs incurred.

6. Warranties and Guarantees

We provide a limited warranty on specific waterproofing and coating services as detailed in the final invoice. This warranty covers defects in materials or workmanship provided by us.

WARRANTY EXCLUSIONS:

• Structural movements, settling, or earthquakes causing new cracks.
• Damage caused by third-party contractors (e.g., AC technicians, plumbers) working on the treated area.
• Internal plumbing leaks or seepage originating from neighboring properties.
• Natural disasters, floods, or extreme weather events exceeding standard design parameters.
• Normal wear and tear or lack of basic maintenance by the Client.

7. Limitation of Liability

To the maximum extent permitted by law, Seal & Cool shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, property damage (except that caused directly by our gross negligence), or emotional distress.

Our total liability for any claim arising out of the Services shall not exceed the total amount paid by the Client for the specific Service that gave rise to the claim.

8. Force Majeure

We shall not be held responsible for any delay or failure in performance of our obligations under these Terms if such delay or failure is caused by events beyond our reasonable control, including but not limited to acts of God, war, strikes, government lockdowns, or severe weather conditions (e.g., cyclones or heavy monsoons in Chennai).

9. Intellectual Property

All content included on the website, such as text, graphics, logos, images, and software, is the property of Seal & Cool or its content suppliers and is protected by international copyright laws. You may not reproduce, duplicate, copy, or otherwise exploit our content for any commercial purpose without express written consent.

10. Governing Law and Jurisdiction

These Terms shall be governed by and defined in accordance with the laws of India. Seal & Cool and yourself irrevocably consent that the courts of Chennai, Tamil Nadu shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

11. Changes to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. We will alert you about any changes by updating the "Effective Date" of these Terms.
